These Terms of Service ("Terms") constitute a legally binding agreement between you and AVIU SOLUTIONS LTD ("Company," "we," "our," or "us") regarding your use of our website, software products, and services (collectively, the "Services").

AVIU SOLUTIONS LTD provides enterprise software solutions including but not limited to ERP, CRM, HRMS, MES, and WMS systems. We offer software products, consulting services, implementation services, and related support services.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice, at our sole discretion.

To access certain features of our Services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You agree not to use our Services to:

All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, and software code, are owned by AVIU SOLUTIONS LTD or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services in accordance with these Terms. This license does not include any right to resell, redistribute, or create derivative works from our Services.

If you purchase any paid Services, you agree to pay all fees as specified in your service agreement or invoice. Payment terms, pricing, and billing cycles will be detailed in your specific service agreement.

• All fees are non-refundable unless otherwise specified in your agreement
• We reserve the right to change our pricing with reasonable notice
• Failure to pay may result in suspension or termination of Services
• You are responsible for any taxes applicable to your use of our Services

Specific service level agreements, uptime guarantees, and support terms will be detailed in your individual service agreement. We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation.

We respect the confidentiality of your data. Our handling of your data is governed by our Privacy Policy. You retain ownership of your data, and we will not use your data for purposes other than providing our Services without your consent.

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not make any warranties regarding the results that may be obtained from the use of our Services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AVIU SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from or related to our Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless AVIU SOLUTIONS LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our Services or violation of these Terms.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our Services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our Services shall be resolved through good faith negotiations. If such negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms.
